Notice of MTA Special Meeting
 
         
 
The President has called for the conduct of a Special General Meeting, to be held prior to the Governing Council Meeting to be held on this same day, to consider altering the MTA Rules, now necessary as a consequence of earlier changes made to the Rules through the previous Special General Meeting.

When:
1:30pm Tuesday 16th June, 2009.
Where: MTA House, 43-51 Brisbane Street, Darlinghurst.
 
     
 
 
 
The changes are entirely related to the altering of references to Rule numbers within Rules following the removal of old Trustee relevant Rules 37 and 38 and the old Executive Director Rule 35. These proposed changes are listed below under item “B.”

To remove the need to call a meeting of this type to alter what are substantially consequential administrative changes, a further Rule change proposal that will allow the MTA Governing Council to approve such changes has been published below for consideration at this meeting at Item “A” – the new content is in paragraphs 2 & 3.

Business to be conducted:

A. Proposed Amendment to Rule 48 – Alteration of Constitution and Rules

(1) Subject to Rule 48(2) and (3) this Constitution and Rules may be altered added to or rescinded and a new Constitution and new Rules may be adopted at a special general meeting of the Association members called for that purpose provided that any such alteration addition or rescission is in accordance with the Act and is agreed to by a simple majority of the Association members present in person or by nominated representative or by proxy and entitled to vote at such meeting.

(2) These Rules may be amended by a resolution of the Governing Council where such amendments are required by the Industrial Registrar to effect compliance with the provisions of the said laws for registration.

(3) Where Council determines that amendments are required to the Constitution and Rules so as to:-
(a) provide clarity;
(b) remove anomalies;
(c) improve grammar;
(d) utilise rule numbers the provisions of which have been deleted by previous rule changes; or
(e) reflect the alterations required consequential to renumbering of rules

then the Constitution and Rules may be so amended by resolution of the Governing Council.
